Public offer agreement

Individual entrepreneur Dmytro Tur (the Provider) offers any legally capable person (the Customer) to enter into this agreement on the terms below. This document is a public offer under articles 633, 641 and 642 of the Civil Code of Ukraine.
- Subject of the agreement. The Provider gives the Customer access to the Sayply software as a service: speech recognition during the Customer calls, live transcript, cues and post-call summaries. The service is delivered remotely over the Internet on a subscription basis.
- Acceptance. The agreement is concluded when the Customer registers an account at sayply.com or pays for a plan. Acceptance means full and unconditional agreement with these terms, with the payment and refund terms and with the privacy policy.
- Payment terms. The price depends on the selected plan and the number of seats; current prices are published in the pricing section in Ukrainian hryvnia. Payment is made by bank card through a PCI DSS compliant payment provider. The Provider neither receives nor stores the Customer card details.
- Subscription and renewal. A subscription is bought for a month or a year and renews automatically at the end of each paid period by charging the same card, until the Customer cancels it. The Customer may stop automatic renewal at any time in the account; access remains until the end of the period already paid for.
- Service allowance. Every plan includes a monthly allowance of recognition minutes. Unused allowance minutes do not carry over to the next period; separately purchased minute packs do not expire. Running out of minutes stops new sessions from starting but does not cut off a call already in progress.
- Rights and obligations. The Provider undertakes to keep the service available and the Customer data confidential. The Customer undertakes not to share access beyond the paid seats, not to use the service for unlawful purposes, and to inform call participants about speech processing where the law applicable to the Customer requires it.
- Refunds. Refund conditions are set out on the payments and refunds page and form an integral part of this agreement.
- Liability. The service is provided "as is". The Provider is not liable for decisions the Customer makes based on transcripts, cues or summaries, for the accuracy of automatic speech recognition, or for damages caused by outages of third-party networks or services. The Provider aggregate liability is limited to the amount paid by the Customer for the last paid period.
- Term and changes. The agreement is effective from acceptance until the subscription ends. The Provider may change these terms and the prices by publishing a new version on this page; changes do not apply to a period already paid for. Continued use after publication means acceptance of the new version.
- Disputes. Disputes are settled through negotiation and, failing that, under the laws of Ukraine.
